>> Foreign Direct Investment

In the current economic situation the government sees increasing foreign investment as a priority, which means there are many investment opportunities in the various sectors of the Indonesian economy. We can assist foreign investors at each step of their investment process in Indonesia: assessing the investment opportunities and conducting due diligence; negotiating, drafting, and finalizing joint venture agreements and all relating documents for clients' planned investments; liaison with relevant institutions; negotiating and structuring the transaction; applying for and obtaining the requisite licenses and permits; assisting with expatriate immigration and work permit procedures; and also assisting with labor issues. Our clients include not only foreign investors seeking and taking up opportunities in Indonesia, but also Indonesian entities actively seeking foreign investment. We believe our experience in this area will help attain each client's objectives of achieving the best possible outcome, whether it is to ensure an efficient investment process or achieve harmonious cooperation between partners in a joint venture.

>> Banking and Finacial Services

We represent both domestic and overseas financial institutions including banks, securities companies, insurance companies and other finance institutions in all facets of their business. We provide full legal services.On banking and finance related issues ranging from the initial negotiations with the prospective creditor(s) or debtor(s) to completing the negotiation process. We also draft simple as well as complex tailor-made agreements, and assist in reporting and registering the transaction with any relevant authorities. Indeed, we have the expertise to draft bank-operating guidelines – domestic and international transactions, loans and syndication – and to settle problem loans, collateral, and hypothecate. In addition, we carry out execution of acknowledgement of merger, liquidation and acquisition or issuance of securities (commercial papers, obligation, etc), and selecting the most appropriate dispute resolution techniques.

>> Corporate and Commercial Law

Our goal is to represent our clients' interests and reach a solution which aligns any legal requirements to their commercial expectations and business objectives. We have extensive experience of advising on establishing all kind of corporate ventures and resolving all aspects of corporate matters, including: setting up a new company (whether in the form of limited liability company, domestic or foreign capital investment company, joint venture company or any others) and prepare all relating documents and licenses; reviewing or drafting agreements to determine if their terms are within the laws; merger and acquisition of corporations; reorganization of existing entities; conducting legal due diligence; as well as negotiating other complex business transactions. We act for a wide range of clients in all industry sectors ranging from multinational companies and government departments to small entrepreneurs, and routinely advise boards on corporate governance matters, including development of appropriate governance guidelines, policies, codes and best governance practices. We also represent clients in a broad variety of complex commercial litigation in respect to business disputes in the District Court, High Court and Supreme Court.

Intellectual property is one of the most valuable assets of any company and its protection has become a matter of increasing concern. >> Real Property

We work closely with other legal practice areas to offer an all-encompassing real estate service to devise the best solutions for our clients. We help our clients through all stages of projects, beginning with advising on the appropriate procurement methods, drafting the necessary contractual documents and dealing with any issues as they arise, to resolving disputes. The firm's experience in the bankruptcy area is complemented by the firm's other areas of expertise. >> Labor Law

Legal issues associated with employment situations are becoming increasingly complex and the number of claims brought against employers is on a steady increase. In this environment, every employer needs to be alert to the legal pitfalls of the employer/employee relationship and pro-actively initiate steps to prevent disputes and liabilities. We advises employers on all aspects of the employment relationship, including drafting personnel policies and handbooks; preparing employment contracts; advising on terminations, discipline and promotions; reviewing wage and hour compliance; and assisting with unemployment and workers' compensation claims. We also represent clients in litigating employment-related disputes in and out of court; negotiating collective bargaining; and arbitrating contractual disputes before state and local agencies (P4P/P4D).

>> Construction

The objective of the construction practice is to enable a range of clients to understand and reduce the contractual risks involved in construction projects, and resolve contractual issues and disputes in a manner consistent with the clients’ commercial requirements and critical path planning. We represent lenders, developers, architects, engineers, owners (private and governmental), general contractors, and sub-contractors in all phases of construction project. We will help to negotiate the contracts that will define and guide the project; drafting of construction-related documents, and to resolve all types of construction dispute through negotiation, mediation, arbitration or litigation.

>> Enviromental Law

Mediation is the most common form of ADR and has shown itself to be particularly effective as it enables the parties to maintain sensible business relations. We provide a full service to individuals and entities with imaginative and constructive approach, which involves consideration of all forms of dispute resolution. Our objective with respect to dispute resolution is to develop a strategy that will enable you to achieve the results in the most cost-effective manner possible, and using litigation and arbitration only as a tool of last resort. Previously, many of our attorneys have served as prosecutors for more than 25 years and get involved in a number of major fraud cases nationally, which provide an important perspective when counseling clients facing investigation or indictment. Our attorneys have successfully represented clients in all types of white-collar criminal matters, including corruption, bank fraud, accounting fraud, money laundering, tax crimes, and customs violations.
